These Terms and Conditions (“Terms”) govern your access to and use of www.drlisaleit.com (“Site”) and your participation in professional services provided by Dr. Lisa Leit, operating as Leit Works (“Leit Works,” “we,” “us,” or “our”).

By scheduling, purchasing, or participating in any services, you (“Client,” “you”) agree to be bound by these Terms.

1. Scope of Services

Leit Works provides the following professional services (“Services”):

Individual Coaching
Team Coaching
Mediation / Conflict Resolution
Consulting
Hypnotic Coaching
ICF Mentoring
Coaching Supervision

Services may be delivered to individuals, teams, groups, leaders, boards, or organizations, depending on the engagement.

All Services are non-clinical, non-medical, and non-therapeutic in nature and are not a substitute for psychotherapy, counseling, mental health treatment, medical care, legal advice, or financial services.

2. Nature of the Professional Relationship

2.1 Coaching, Mentoring, and Supervision

Coaching, mentoring, and supervision are collaborative, thought-provoking processes designed to support awareness, development, leadership capacity, professional competence, and self-directed change. Outcomes are not guaranteed and depend on Client participation and responsibility.

2.2 Team Coaching

Team Coaching focuses on collective functioning, communication, alignment, decision-making, and relational dynamics within intact or developing teams. Team Coaching does not replace performance management, HR processes, legal processes, or disciplinary action.

2.3 Mediation (Conflict Resolution)

When providing Mediation services, Dr. Lisa Leit serves as a neutral and impartial facilitator. The Mediator does not provide legal advice, take sides, impose outcomes, or make binding decisions. Mediation is voluntary and non-adjudicative, and any agreements reached are created solely by the participating parties.

3. Client Responsibility

You acknowledge that you are solely responsible for your decisions, actions, behaviors, and results arising from participation in Services. You understand that you determine how and whether to apply insights gained.

You agree to seek independent professional support (medical, psychological, legal, financial, or otherwise) when appropriate.

4. Delivery of Services (Virtual Sessions)

All Services are delivered virtually, primarily via Zoom or another mutually agreed-upon virtual platform or method.

You are responsible for ensuring:

Adequate technology and internet access
A private, appropriate environment
Timely attendance and engagement

5. Scheduling, Cancellation, and No-Shows

Sessions are scheduled by mutual agreement.

Cancellations or rescheduling require at least 24 hours’ notice
After one grace late cancellation or no-show per year, missed sessions will be charged in full and considered forfeited
Repeated cancellations may result in termination of Services at our discretion

6. Fees, Packages, and Expiration

All fees are due in advance unless otherwise agreed in writing.

Prepaid Discounted Packages

Are non-refundable
Are transferable with written notice and approval
Expire one (1) year from the date of purchase, regardless of usage

Unused sessions after expiration are forfeited.

7. Confidentiality (Mutual)

7.1 Mutual Confidentiality

Both Client and Leit Works agree to maintain the confidentiality of all non-public personal, professional, business, and proprietary information shared during Services.

7.2 Exceptions

Confidentiality does not apply where disclosure is required by law, court order, mandatory reporting obligations, or where there is a reasonable belief of imminent harm or illegal activity.

7.3 Team & Multi-Party Contexts

In Team Coaching or Mediation engagements, confidentiality operates at individual, team, and organizational levels. Confidentiality boundaries and reporting agreements will be clarified at the outset of each engagement.

8. Hypnotic Coaching: Scope & Contraindications

Hypnotic Coaching offered by Leit Works is a non-clinical, coaching-based modality designed to support insight, focus, self-regulation, and personal development. It is not therapy, psychotherapy, or medical treatment.

Contraindications

Hypnotic Coaching may not be appropriate for individuals who:

Have been diagnosed with psychotic disorders, including schizophrenia or schizoaffective disorders
Are currently experiencing active psychosis, delusions, hallucinations, or dissociative episodes
Have unmanaged bipolar disorder, particularly during manic or hypomanic episodes
Have a history of severe dissociation or dissociative identity disorder
Are under the influence of substances that impair cognitive awareness
Are experiencing acute suicidal ideation or severe mental health crises

Clients agree to disclose relevant mental health history that may impact suitability for Hypnotic Coaching. Leit Works reserves the right to decline or discontinue Hypnotic Coaching services and provide referrals when appropriate.

Participation in Hypnotic Coaching is always voluntary, and Clients may stop or pause a session at any time.

9. AI, Recordings, and Data Use (AI-Era Safeguards)

Leit Works operates with a privacy-first, human-centered approach.

Sessions may only be recorded with the prior, explicit written consent of all participants. Platform-based recording notices or click-through prompts (e.g., Zoom recording notifications) do not, on their own, constitute mutual written consent.
Any permitted recording will be used solely for the agreed purpose and stored securely
Client session recordings, transcripts, notes, shared materials, or Client intellectual property will never be used to train AI systems, fine-tune models, or generate derivative content
Client data will not be uploaded to AI tools for learning, indexing, or reuse
Any AI-enabled tools used in support of Services (e.g., scheduling, summaries, reflections) are used in ways that do not learn from, or repurpose Client data

These protections apply to individual coaching, team coaching, mediation, supervision, and all multi-party engagements.

10. Intellectual Property

All methodologies, frameworks, tools, curricula, materials, and content provided by Leit Works and Happy Whole Human remain the exclusive intellectual property of Dr. Lisa Leit / Leit Works / Happy Whole Human, unless otherwise stated in writing.

Clients receive a limited, non-exclusive, non-transferable license to use materials for personal use only. Reproduction, resale, teaching, publication, or distribution is prohibited without prior written permission.

11. Non-Compete & Non-Misuse of IP

During active engagement and for twelve (12) months following the conclusion of Services (or the maximum period permitted by law), you agree not to replicate, rebrand, or commercially exploit proprietary Leit Works methodologies or intellectual property in a manner that constitutes direct competition.

This provision is intended to be reasonable and narrowly interpreted to protect legitimate business interests.

12. Limitation of Liability

To the maximum extent permitted by law:

Leit Works makes no guarantees regarding outcomes
Leit Works is not liable for indirect, incidental, consequential, or special damages
Total liability is limited to the fees paid for the applicable Services

13. Termination

Either party may terminate Services with reasonable written notice. Financial obligations incurred prior to termination remain due.

Confidentiality, AI-use, intellectual property, non-compete, and limitation of liability provisions survive termination.

14. Dispute Resolution

The parties agree to attempt good-faith informal resolution of disputes prior to initiating formal legal proceedings. Where appropriate, mediation may be required before litigation.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the applicable jurisdiction in which Services are delivered, without regard to conflict-of-law principles.

16. Updates to These Terms

Leit Works LLC may update these Terms periodically. Continued use of the Site or Services constitutes acceptance of the revised Terms.
